Job Purpose

Facilitate & maintain Decision Rights Framework “DRF” to reflect Group’s objectives, this mandate includes the DRF incorporation Execution plan, Designing the DRF Execution Guidelines, and maintain constant review to ensure alignment with evolving group and business needs.

Job Responsibility

Facilitate & maintain Decision Rights Framework “DRF” to reflect Group’s objectives, this mandate includes the DRF incorporation Execution plan, Designing the DRF Execution Guidelines, and maintain constant review to ensure alignment with evolving group and business needs.
Oversee DRF System to ensure effective oversight, by reflecting DRF authorities that will strengths the accountability and alignment of Group & its subsidiaries.
Define essential group charters, policies, methodologies and practices that will be disseminated to all subsidiaries, while also ensuring that these policies are appropriately tailored and adapted to fit the specific needs and contexts of each subsidiary considering its Legal Corporate Formation. 
Maintain & update the Interaction Touchpoint Calendar that’s governs the information flow content between the Functional units at the Group level & its subsidiaries to ensure its legal applicability based on each Subsidiaries considering its Legal Corporate Formation.
Support Sustainability & ESG integration into Subsidiaries Governance.
Maintain Subsidiary Affairs & Governance Portal
Monitor Subsidiaries Governance Performance Scorecards to ensure the accessibility to management and its efficient Operations.
Support Investment unit in the due diligence process in the potential investment elements from a Governance prospective.
Support the Subsidiaries Board platform Portal that will facilitate and document all correspondences with the Subsidiaries Boards, Subcommittees and board secretaries.
Oversee the execution of a corrective action plan, ensuring that necessary measures are implemented effectively to uplift governance standards, promote accountability, and align subsidiary operations with the overall strategic objectives of the Group.
